TERMS AND CONDITIONS ACKNOWLEDGMENT

By signing below, the applicant acknowledges they have read, understood, and agreed to the Grey Goat Hardware Terms and Conditions, which govern all purchases and transactions. These Terms and Conditions can be accessed at www.ggshardware.com/terms. Order/Credit Application Standard Terms and Conditions 1. Terms and Conditions Govern All sales by Grey Goat Hardware Ltd. (GGH), a Canadian company, and/or its divisions, subsidiaries, and affiliates (hereinafter referred to as "GGH"), to any buyer ("Buyer") shall be governed exclusively by these GGH Standard Terms and Conditions ("This Agreement"). The provisions of all purchase orders from Buyer, except for the quantity and description of the products, shall be deemed null and void. All sales are final. No agreement between GGH and Buyer shall create a third-party beneficiary agreement. No contractor or other third party may rely upon the performance of This Agreement by GGH. 2. Price No verbal quotations shall be binding unless confirmed by GGH in a written quotation, confirmation, or invoice. Unless otherwise specified in writing and signed by an officer of GGH, a written price quote ("Quote") is valid for a period of 30 days, subject to GGH's right to withdraw the Quote if affected by circumstances beyond GGH's control. The reference number on the Quote must appear on Buyer's Purchase Order to receive the quoted price. Prices are subject to final review at the time of order. 3. Taxes Prices are exclusive of all applicable taxes, customs duties, fees, and tariffs. Buyer is responsible for all taxes, including but not limited to sales, use, excise, and import/export duties. If GGH is required to pay any taxes or duties, Buyer shall promptly reimburse GGH. 4. Delivery Delivery dates provided in Purchase Orders are approximate and non-binding, representing GGH's best estimate. Delivery is subject to the availability of raw materials, components, and external conditions. GGH is not liable for any delay in shipment, regardless of cause, or for any loss incurred by Buyer due to delays. 5. Inspection and Acceptance Buyer must inspect all products upon receipt. Any claims for non-conformity or defect must be made in writing within 24 hours of delivery, detailing the issue, purchase details, and invoice number. Products not claimed as defective within this timeframe will be deemed accepted. GGH’s liability for defective products is limited to repair, replacement, or credit issuance. 6. Payment Payment terms are net 30 days from the invoice date unless otherwise agreed in writing. GGH reserves the right to require payment in advance or satisfactory security for payment. Overdue payments are subject to interest at 1.5% per month. Buyer shall be responsible for all collection costs, including legal fees, associated with delinquent payments. 7. Freight Buyer must specify the mode of delivery. Risk of loss transfers to Buyer upon delivery to a common carrier or other designated location. GGH is not responsible for damage or loss in transit. Claims for freight damage must be made directly to the carrier. 8. Product Suitability Buyer is responsible for determining the suitability of GGH's products for its specific needs or applications. GGH disclaims any responsibility for suitability, design, or safety in Buyer's applications and will not be liable for related claims. 9. Default by Buyer If Buyer fails to meet its obligations under this Agreement, GGH reserves the right to: a. Suspend deliveries b. Terminate contracts with Buyer c. Recover all outstanding amounts and damages d. Recover products in Buyer's possession Buyer shall be liable for all costs, including legal fees, arising from any default. 10. Warranty Products are warranted to be free from manufacturing defects for one (1) year from the shipment date. GGH's sole obligation is to repair, replace, or issue a credit for defective products. GGH disclaims all other warranties, including fitness for a particular purpose or merchantability. 11. Limitations on Liability GGH shall not be liable for indirect, consequential, or punitive damages, including lost profits, delays, or reputational damage. GGH's liability is strictly limited to the repair or replacement of defective products, or refund of the purchase price, at its sole discretion. 12. Applicable Law and Jurisdiction This Agreement shall be governed by the laws of Ontario, Canada. Any disputes shall be resolved exclusively in the courts of Ontario. 13. Indemnity Buyer agrees to indemnify and hold GGH harmless from all claims, damages, and expenses arising from the use, possession, or resale of GGH's products. 14. Waiver Failure by GGH to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other rights under this Agreement. 15. Force Majeure GGH shall not be liable for failure to perform due to circumstances beyond its control, including acts of God, labor disputes, shortages, or governmental restrictions. 16. Collateral Recovery GGH may pursue all available remedies, including lien rights and other legal actions, to recover unpaid amounts. Buyer agrees that all invoices shall be deemed immediately due and payable in the event of default. 17. Personal Guarantees If applicable, personal guarantors are jointly and severally liable for all obligations of the Buyer. Guarantors waive all defenses to the enforcement of this Agreement. 18. Credit Reports Buyer consents to GGH obtaining credit reports for the purpose of extending or collecting credit. 19. Entire Agreement This Agreement constitutes the entire agreement between the parties. Any modifications must be made in writing and signed by both parties.
